Emeren Group Ltd, a Norwalk, Connecticut based solar developer and operator, has announced completion of its merger and has become a wholly owned subsidiary of Shurya Vitra Ltd, via Emeren Holdings Ltd. Incorporated in the British Virgin Islands, the merger was carried out under the June 18, 2025 Merger Agreement, which was later amended on September 2, 2025. The agreement was approved by shareholders on December 9, 2025, and each American depositary share (ADS), representing ten Shares, was cancelled for $2.00 per ADS, less a $0.05 cancellation fee. The Bank of New York Mellon is acting as Depositary to distribute cash payments to ADS holders. Emeren has requested suspension of ADS trading on the New York Stock Exchange from December 15, 2025. The company intends to file Form 15 within ten days to terminate its Exchange Act reporting obligations after deregistration.
